The registered office of an LLP can be relocated in four ways:

1. Within Local Limits or Same City: Shifting the registered office to another location within the local limits or the same city/town/village.

2..Outside Local Limits: Moving the registered office to a new location outside the local limits, but within the same state.

3. From One Registrar to Another within the Same State: Changing the registered office to a different location under the jurisdiction of another Registrar of Companies (ROC) within the same state.

4. From One State to Another: Relocating the registered office from one state to another state.

Detailed Procedure for Shifting Registered Office from One State to Another

Step 1: Check LLP Agreement

Review the LLP agreement to check for provisions related to changing the registered office address. If not specified, obtain consent from all partners.

Step 2: Consent of Secured Creditors

For interstate relocation, obtain consent from all secured creditors. Send a notice of the address change to secure creditors at least 21 days before filing to allow objections.

Step 3: Publication of Notice

Publish a notice in both a regional language newspaper of the state and an English newspaper, announcing the relocation of the LLP's registered office.

Step 4: File Form 15 with ROC

Within 30 days from the date of publication of the notice, submit Form-15 to the ROC of both the current and new states along with applicable fees.

Step 5: File Form 3 for LLP Agreement Amendment

Amend the LLP agreement to reflect the new registered office address and file Form-3 with the ROC within 30 days of the change.
