DIR-3 is required to be filed under Section 153 of the Companies Act, 2014 & Rule 9(1) of the Companies (Appointment and Qualification of Directors) Rules, 2014.

Purpose

  • Any person intending to become the director in a company is required to make an application to MCA for allotment of a unique identification, namely, Director Identification Number (DIN) through DIN.

  • Form No. DIR-3 aims to simplify the process for filing applications to the DIN processing desk for obtaining DIN before appointment in an existing company or LLP for KYC of directors.

  • Any individual not having DIN, who intends to be appointed as director in an existing company or a designated partner in any existing LLP shall make an application in web form ‘DIR-3’ for allotment of Director Identification Number (‘DIN’).

Key Information:

  • The DIR-3 will be processed by DIN cells depending on the respective conditions: 

  • If DIR-3 is certified by the practicing professional (CA/CS/CWA) (in whole-time practice) and details of the director have not been identified as a potential duplicate, then it shall be auto-approved (STP), and in all other cases, it will be processed by the DIN cell (NON STP).

Documents Required:

The following are the mandatory attachments to be filed in all cases:   

Proof of Identity of applicant  

  • In the case of Indian nationals, Income-tax PAN is a mandatory requirement for proof of identity.

  • In the case of foreign nationals, a passport is a mandatory requirement for proof of identity.

  • Proof of identity enclosed with DIR-3 should also contain the date of birth of the applicant and the same should match the date of birth filled in on the application form. In case the proof of identity does not indicate the Date of Birth then additional proof of Date of Birth, duly certified/ attested, should be attached.

Proof of residence of the applicant  

  • Address proofs like passport, election (voter identity) card, ration card, driving license, electricity bill, telephone bill or Aadhaar shall be attached and should be in the name of the applicant only.

  • In the case of an Indian applicant, documents should not be older than 2 months from the date of filing of the Form.

  • In the case of a foreign applicant, address proof should not be older than 1 year from the date of filing of the DIR-3.

Copy of verification by the applicant as perform No. DIR-4. 

  • In case of proofs that are in languages other than Hindi / English, the proofs should be translated into Hindi / English by a professional translator carrying his details (name, signature, address) and seal.

  • In the case of foreign nationals, translation done by the notary of the home country is also acceptable.

  • Any other information can be provided as an optional attachment(s).

Timeline

Form DIR-3 is required to be filed before the date of appointment of the Director in an existing Company.

Fees

Legal Fee is Rs. 500 for the allotment of DIN.

Important Check Points while filling up the DIR-3:

  • Please read instructions and guidelines carefully before filling out online application web forms.

  • Please attach the required mandatory supporting documents in the specified format only.

  • Please ensure that the applicant is registered as a business/registered user on the MCA portal before filing the web form.

  • Please ensure that the company/LLP is registered with MCA and has a valid and approved Corporate Identity Number (CIN)/ Limited Liability Partnership Identification Number (LLPIN).

  • Please ensure that the signatories have an approved DIN or valid PAN/Membership number, as applicable.

  • Please note that the signing authority of the webform shall have valid and non-expired/non-revoked DSC.

  • Please ensure that the DSC of the signatory attached in the webform is registered on the MCA portal against the DIN/PAN/Membership number as provided in the webform.

  • Please ensure that the DIN of the signatory is not flagged for disqualification of director.

  • Please ensure that the DIN/DPIN applicant is not a potential duplicate and that no DIN/DPIN has already been allotted to the applicant.

  • Please ensure the applicable ID proof numbers viz. PAN / Voter's ID card / Passport number / Driving License/ Aadhar number/mobile number/email ID as provided by the user manually or through Digi Locker webform should not be associated with the following: • Any DIN/DPIN existing in the MCA database with status as ‘Approved’ or ‘Approved - Pending verification or ‘Under Processing’ • Against any pending DIN/DPIN application through i.e. SRN of SPICe+ or web form DIR-6 / Fillip with status as ‘Under processing’ or ‘payment incomplete’

  • If the space within any of the fields is not sufficient to provide all the information, then additional details can be provided as an optional attachment to the web form. Please ensure that the signatory is associated with Company/LLP under the selected designation.

  • Please ensure that the name of the applicant entered in the webform should be the same as the name mentioned in the DSC affixed to the applicant.

  • Please ensure to affix the DSC of the applicant first followed by the DSC of the authorized signatory.

  • Please note that single names shall be allowed in the applicant's name and/or father’s name only in case the same single name is there in the PAN database.
